These terms apply to every sale of goods by the company named in the company details above, trading as Lystvik (“we”, “us”), to a business customer (“you”). By placing an order you accept these terms. Different terms in your purchase order apply only if we accept them in writing.
1. Business customers only
1.1 We sell only to businesses, for use in their business. By ordering, you confirm that you buy as a business and not as a consumer.
1.2 We decline orders that appear to be for private use. Consumer protection rules for private buyers therefore do not apply to our sales.
2. Trade accounts
2.1 To order you need a trade account. We may ask for your organization number, VAT number, EIN, resale certificate, website or other proof that you are a business.
2.2 We may decline an application, or close an account, for example if the business details cannot be verified or an invoice is unpaid.
3. Prices
3.1 Prices are published on our website in EUR, SEK or USD. They exclude VAT and, in the US, sales tax. VAT and any taxes are added according to the rules that apply to the sale.
3.2 What a price includes, for example delivery, is stated on the price list and in your order confirmation.
3.3 Volume discounts apply per order, as stated on the price list.
3.4 We may change prices on the website at any time. The price in your order confirmation is the price you pay.
4. Orders and contract
4.1 A contract is formed when we confirm your order in writing, by email or through our checkout, and payment has been received, or credit terms have been agreed in writing.
4.2 If we cannot supply a confirmed order, for example because the film is no longer available from our supplier, we will tell you without delay and refund anything you have paid for that order. We have no further liability for this.
5. Payment
5.1 Unless credit terms are agreed in writing, you pay in full when you order and before the goods ship.
5.2 If you pay late, we may charge late-payment interest under the Swedish Interest Act (räntelagen) and the statutory compensation for collection costs, and we may hold further deliveries until you have paid.
6. Delivery
6.1 We deliver to the business address you give us. The delivery speed (Planned or Express) and the estimated lead time are stated in your order confirmation.
6.2 Lead times are estimates. We will tell you if a delivery is delayed. A delay does not entitle you to damages unless it is caused by our gross negligence.
6.3 The delivery terms, including who acts as importer and who pays import VAT and duties, are stated in your order confirmation. For deliveries to Norway, the buyer is the importer (DAP).
6.4 The risk of loss or damage passes to you on delivery under the agreed delivery terms.
7. Inspection and notice of defects
7.1 Inspect the goods when you receive them, and before you install them.
7.2 Report transport damage, visible defects, wrong items or wrong quantities within 7 days of delivery and before installation, with photos and the batch or lot number on the roll or box.
7.3 Before a full installation, test the film on the vehicle in a small, discreet area, and follow the manufacturer’s installation guide.
7.4 Minor variation in color, gloss or finish between production batches is not a defect.
8. Warranty
8.1 The only warranty for a product is the manufacturer’s written warranty. Its terms are published on the product page when we start selling that product. We pass it on to you and handle claims through us. We give no warranty beyond it.
8.2 To claim under the warranty, send us photos, the batch or lot number, the date of installation, and a description of the defect.
8.3 If a claim is accepted, we will, at our option, replace the defective film or credit its price.
9. Disclaimer of other warranties
EXCEPT FOR THE MANUFACTURER’S WRITTEN WARRANTY DESCRIBED IN SECTION 8, THE GOODS ARE SOLD WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY LAW.
10. Limitation of liability
10.1 Our total liability for any claim arising from a sale is limited to the invoiced price of the goods the claim relates to.
10.2 We are not liable for labor, removal or re-installation costs, vehicle downtime, lost profit, loss of business, or any other indirect or consequential loss.
10.3 These limits do not apply where liability cannot be limited by law, including under mandatory product liability law, or in case of intent or gross negligence.
11. Retention of title
The goods remain our property until they have been paid for in full.
12. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, such as supplier or carrier failure, strikes, natural events, war, or government action, including sanctions and customs measures.
13. Export control and sanctions
You may not resell or export the goods in breach of applicable export control or sanctions laws.
14. Governing law and disputes
14.1 These terms and every sale are governed by Swedish law.
14.2 Disputes are settled by Swedish courts, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
15. Language and changes
15.1 These terms are written in English. If a translation differs, the English version applies.
